Client Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of UserSound ("we", "us", "our"), an AI-powered voice survey platform.
By creating an account or using the platform, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you must not use UserSound.
2. Definitions
- Client: An individual or organisation that creates an account to configure and distribute surveys.
- Participant: An individual invited by a Client to complete a voice survey.
- Content: Audio recordings, transcripts, summaries, responses, and other data generated through surveys.
- Platform: The UserSound website, applications, and services.
3. Eligibility & Account Registration
- You must be 18 years or older to use the Platform.
- You must provide accurate and complete information when registering.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
4. Free Trial & Billing
Free Trial
- UserSound offers a 7-day free trial.
- A valid payment method is required to start the trial.
- You will not be charged during the trial period.
Paid Subscription
- At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled before the trial ends.
- Subscription fees are billed in advance on a recurring basis.
- You may cancel at any time through your account or by contacting support.
Refunds
- Fees are non-refundable, except where required by law or explicitly agreed otherwise in writing.
5. Use of the Platform
You agree to use UserSound only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Platform to record individuals without their knowledge or consent
- Survey individuals under the age of 18
- Upload or collect unlawful, harmful, or misleading content
- Attempt to reverse engineer, disrupt, or misuse the Platform
- Use the Platform to violate data protection or privacy laws
6. Client Responsibilities
Clients are solely responsible for:
- The content and purpose of their surveys
- Obtaining all required consents from Participants
- Ensuring compliance with applicable laws (including GDPR and privacy laws)
- How survey results are used, shared, or acted upon
UserSound does not review or approve surveys and is not responsible for Client misuse.
7. Data Ownership & Licence
Ownership
- Clients retain full ownership of all survey Content.
- Participants retain ownership of their personal data, subject to the Client's role as data controller.
Licence to UserSound
Clients grant UserSound a limited, non-exclusive licence to:
- Process survey Content to provide the Platform
- Generate transcripts, summaries, and insights
- Improve and maintain UserSound's services
This licence does not transfer ownership.
8. AI Services & Limitations
UserSound uses AI to:
- Conduct voice surveys
- Ask follow-up questions
- Generate summaries and insights
AI outputs:
- Are provided for research and insight purposes only
- May contain inaccuracies or omissions
- Should not be relied upon as legal, financial, or professional advice
Clients are responsible for reviewing and validating outputs before use.
9. AI Training
UserSound does not currently use Client or Participant Content to train AI models beyond providing the service.
If this changes in the future:
- We will update these Terms
- We will provide clear notice
- Where required, we will obtain explicit consent
10. Suspension & Termination
We may suspend or terminate your account immediately if:
- You breach these Terms
- You misuse the Platform
- You pose legal, security, or reputational risk
You may terminate your account at any time.
Upon termination:
- Access to the Platform will cease
- Data will be handled in accordance with our Privacy Policy
11. Intellectual Property
UserSound retains all rights to:
- The Platform
- Software
- Branding
- AI systems
- Documentation
You may not copy, resell, or exploit the Platform without permission.
12. Privacy & Data Protection
Use of the Platform is subject to our Privacy Policy.
For survey Content:
- Clients act as data controllers
- UserSound acts as a data processor
Data protection terms are incorporated by reference.
13. Disclaimers
The Platform is provided "as is" and "as available".
We do not guarantee:
- Continuous availability
- Error-free operation
- Specific outcomes from survey insights
14. Limitation of Liability
To the maximum extent permitted by law:
- UserSound is not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the fees paid by you in the 12 months preceding the claim
Nothing in these Terms limits liability for fraud or death/personal injury caused by negligence.
15. Indemnity
You agree to indemnify and hold UserSound harmless from claims arising from:
- Your surveys
- Your use of the Platform
- Your breach of these Terms
- Your failure to obtain required consent
16. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time.
Material changes will be notified via email or the Platform. Continued use constitutes acceptance.
